The Shares of the Funds have not been and will not be registered under the Securities Act of 1933 of the United States, as amended, nor has the Fund been registered under the United States Investment Company Act of 1940 as amended and, except in a transaction which does not violate such Acts, may not directly or indirectly be offered, sold or delivered in the United States or to or for the account of a US Person. Notwithstanding the foregoing, the Fund may arrange for the private placement of Shares to investors who are in the United States or who are US Persons, if among other things, prior to the acquisition of such shares, each such investor delivers to the Fund a completed subscription agreement containing certain representations and agreements in accordance with United States law. Such subscription agreement shall acknowledge, represent and warrant that (inter alia) the investor is an "accredited investor" as defined in regulation 230.501 (a) promulgated under the 1933 Act. The Shares of the Funds may not be offered, sold or delivered to any person who is a member of the public of the Cayman Islands (which shall not include an exempted company or an ordinary non-resident company incorporated in the Cayman Islands). The Shares of the Funds may not be offered, sold or delivered in Brazil or to or for Brazilian residents or to any entity organized under the laws of Brazil, except under circumstances in compliance with applicable Brazilian laws, rules and regulations. The Directors of the Funds have taken reasonable care to ensure that the facts stated herein are true and accurate in all material respects and that there are no other material facts, the omission of which would make misleading any statement herein, whether of fact or opinion. Investment in the Fund is suitable only for sophisticated investors fro whom such investment does not constitute a significant portion of their investment program and who fully understand and are willing to assume risks involved in the Fund's investment program.
